An integral part of our practice involves advising clients on business and corporate matters. The firm was founded to give advice to individuals and small businesses. As a part of this advice, we counsel business owners and individuals on a number of areas. We provide advice in the following areas:

Business Formation and Structure: We will help the client to decide between thevarious types of business organizations: S-Corporation, C-Corporation, LLC, LLP, Limited Partnership, Partnership, Trust, Professional Corporation or LLC, or Nonprofit Corporation. Once decided we will take all necessary steps to get the client started. We will work with the clients’s accountant, banker and others to make certain that the “team” is on the same page.

Business Contracts: We will help the client with the negotiation and preparation of all types of agreements related to the business: employment contracts, confidentiality and non-compete agreements, purchase and production agreements, financing and loan agreements,sales agreements, and many others.

Corporate Governance: We will assist the client in establishing the orderly control and management of the business venture by preparation of proper bylaws, operating agreements, shareholder agreements, partnership agreements, buy/sell agreements and/or
management agreements.
